Terms of Service

These Terms of Service ("Terms") govern your use of Cleo (the "Service"), operated by Konstantin Bick, a sole proprietorship operating under a German business license ("Cleo", "we", "us"). By signing up for or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

1. Who may use the Service

You must be at least 18 years old and able to enter into a binding agreement. The person who sets up the Service ("Person A") is responsible for their account and for the information they provide.

2. What the Service is

Cleo is a companion delivered over SMS. Depending on your settings, it can:

  • send Person B a friendly daily check-in message;
  • chat with Person B and answer everyday questions as a conversational companion;
  • send medication reminders at the times you set;
  • track recurring doctor appointments and remind Person B when one is due;
  • notify Person A if Person B does not respond within a chosen window or appears to be having a difficult day.

3. Not a medical or emergency service

Cleo is not a medical device, healthcare provider, caregiver, or emergency service. It does not provide medical, legal, or financial advice, cannot diagnose or treat any condition, and cannot summon emergency help. Do not rely on Cleo in any urgent or life-threatening situation. In an emergency, always call your local emergency number. Alerts are provided on a best-effort basis and may be delayed or fail to deliver for reasons outside our control (e.g. carrier issues).

4. AI-generated content

Cleo's conversational replies are generated by artificial intelligence. They are meant to be friendly, supportive, informational, and good company — they are not professional advice and may be inaccurate, incomplete, or out of date. Do not rely on them for medical, legal, financial, or other professional decisions (see also Section 3).

5. Your account & access

You sign in with a one-time link sent to your email — you can request a new one at any time, and each link can be used once and expires shortly after it is sent. Because anyone with access to your email could request a link, the important thing is to keep your email account secure. Provide accurate information, and let us know if you believe your account has been accessed without your permission. You are responsible for activity under your account.

6. Your responsibilities for Person B

By providing Person B's phone number and details, you confirm that you are authorised to do so and that Person B consents to receiving messages from Cleo. Person B independently confirms by replying to our first message and may opt out at any time by replying STOP. You are responsible for the accuracy of the information you enter (such as medication names, times, and appointment details); Cleo relies on it to send reminders.

7. SMS terms

The Service sends recurring messages; frequency varies with your settings. Message and data rates may apply. Reply STOP to cancel and stop all messages, or HELP for help. Carriers are not liable for delayed or undelivered messages.

8. Your content & inputs

You retain your information. You grant us a limited right to store and process the messages and details you and Person B provide, solely to operate and improve the Service as described in these Terms and our Privacy Policy.

9. Acceptable use

You agree not to misuse the Service, including by using it unlawfully, sending messages to anyone without their consent, attempting to disrupt or reverse-engineer the Service, or using it to harass or harm others.

10. Intellectual property

The Service — including the Cleo name, design, and software — belongs to us or our licensors. We grant you a limited, personal, non-transferable right to use the Service; you may not copy, resell, or reverse-engineer it.

11. Third-party services

The Service depends on third parties, including mobile carriers and our providers (Sendblue, Supabase, Anthropic, Vercel, Resend). Their availability and terms can affect the Service, and we are not responsible for failures or delays caused by them.

12. Fees

The Service is currently provided free of charge during our early phase. We may introduce paid plans in the future; if we do, we will give you advance notice, and you will never be charged by surprise.

13. Changes to the Service

We are still building Cleo and may add, change, or discontinue features at any time. We will try to give reasonable notice of significant changes.

14. Disclaimers & limitation of liability

The Service is provided "as is" and "as available", without warranties of any kind to the fullest extent permitted by law. To the maximum extent permitted by applicable law, Cleo shall not be liable for any indirect, incidental, or consequential damages, or for any harm arising from reliance on the Service in a medical or emergency situation. Nothing in these Terms limits liability that cannot be limited by law (including, where applicable, for intent or gross negligence, or for injury to life, body, or health).

15. Indemnification

To the extent permitted by law, you agree to hold us harmless from claims arising out of your misuse of the Service or your providing a phone number or personal details without the necessary authorisation or consent.

16. Privacy

Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

17. Termination

You may stop using the Service at any time (Person B by replying STOP; Person A by contacting us to close the account). We may suspend or terminate access if these Terms are violated or if needed to protect the Service or its users.

18. General

If any provision of these Terms is found invalid, the rest remain in effect. These Terms, together with the Privacy Policy, are the entire agreement between us regarding the Service. Our failure to enforce a provision is not a waiver. You may not transfer your rights under these Terms without our consent; we may assign ours to a successor of the Service.

19. Governing law & venue

These Terms are governed by the laws of Germany, without regard to conflict-of-law rules. Where permitted, the place of jurisdiction is Hamburg, Germany. This does not deprive you of the mandatory consumer-protection rights of your country of residence.
